The short version
- You own your brand, your copy and every asset you make. We only use them to run Livery for you.
- You need the rights to the logos, fonts and images you upload. That includes font licences that allow embedding and export.
- Plans are priced per brand, not per seat, and renew unless you cancel.
- AI assistants you connect are third-party services. You review what they write, and you're responsible for what you publish.
Agreeing to these terms
These terms are an agreement between you and [Legal entity name] ("Livery", "we", "us"). By using the website, creating an account or using any part of Livery, you agree to them and to our Privacy Policy.
If you use Livery for a company, studio or client, you confirm you have authority to accept these terms for them, and "you" includes that organisation. If you don't agree, don't use Livery.
If you have signed a separate order form or agreement with us, it takes priority over these terms where they conflict.
The service
Livery is a browser-based asset production system. It includes:
- the onboarding wizard, which captures a brand's logos, typography, colour roles, corner radii and icon style;
- the generated design system and universal component library;
- the builder apps for social ads, carousels, presentations, infographics, landing pages, pre-reads, ebooks and mailers;
- client instances that studios can write to a folder and run offline;
- the Livery connector, which lets an AI assistant send copy into the builders;
- updates, such as new components delivered through Sync.
Some features need a specific browser. Writing an instance folder, for example, needs Chrome or Edge.
Accounts
- You must be at least 18 and give accurate details when you sign up.
- Keep your password and connector URL secret. You're responsible for activity under your account and through your connection key.
- Your account and brand data are stored in your browser on your device, as described in the Privacy Policy. Clearing your browser data, losing the device or using a different browser can mean losing access to that data. Export your brands and keep backups. We can't recover data we never held.
- Tell us straight away at [support email] if you think someone has used your account or connector without permission.
Plans, billing and renewal
- Pricing. Plans are priced per brand, with unlimited team members. Current plans and prices are on our pricing section, or in your order form.
- Billing. Prices are in US dollars and billed annually in advance, unless you choose monthly billing at the monthly rate. Prices exclude taxes, which you pay where they apply.
- Renewal. Your plan renews automatically for the same term unless you cancel before the renewal date. We'll tell you about price changes at least 30 days before they apply to your next term.
- Brand limits. If you run more brands than your plan allows, we may ask you to move to a plan that fits.
- Late payment. If payment fails and isn't fixed within 14 days of our notice, we may suspend paid features until it is.
- Refunds. Fees are non-refundable except where these terms or the law say otherwise.
Your brand and content
You own it. Your logos, fonts, colours, brand settings, copy, images and the assets you export (together, "your content") belong to you or your licensors. We don't claim ownership of any of it.
The licence you give us. You give us a limited, non-exclusive, worldwide licence to host, process, copy and display your content only as needed to run Livery for you, including generating your design system and delivering AI drafts. The licence ends when your content is deleted from our systems.
You need the rights. You confirm you have the rights to everything you upload or use. In particular:
- Fonts. Uploaded fonts must be licensed for the way Livery uses them, including embedding in HTML and PDF exports and use on the web. Google Fonts are covered by their own open licences.
- Logos and trademarks. Use only brands you own or are authorised to represent.
- Images and copy. Make sure you can publish them, and that they don't infringe anyone's rights or break advertising rules.
Your exports are yours to use. You can use, edit, publish and distribute the assets you export, commercially or otherwise, during your plan and after it ends.
No training. We don't use your content to train AI models.
Studios and client brands
If you're a studio or agency onboarding brands for your clients:
- you confirm each client has authorised you to use their brand materials in Livery;
- you're responsible for your clients' use of the instances you set up for them, and for making sure they follow these terms;
- a client instance is a self-contained copy that runs offline. Using it is covered by your plan while the plan is active;
- clients can take their brand with them as
brand.jsonorbrand.config.jsat any time.
AI assistants and the connector
- Third-party AI. Claude, ChatGPT and other assistants are provided by other companies under their own terms. We don't control what they write or how they handle your prompts.
- You review the copy. AI-written copy can be wrong, out of date or unsuitable. Drafts wait in the builder's AI inbox so you can check them. If you turn on Live, copy is applied without review, at your own risk. Every apply can be undone in the builder.
- You're responsible for what you publish, including checking facts, claims, figures and any regulatory wording your industry needs.
- Brand stays locked. The connector only fills existing copy fields. It doesn't change logos, colours, fonts or layout.
- The connection key is a credential. Anyone with your connector URL can send drafts. Keep it private and replace the key if it leaks.
Acceptable use
Don't use Livery to:
- impersonate a person or organisation, or use a brand you aren't authorised to use;
- make content that is unlawful, deceptive, defamatory, hateful or that infringes someone else's rights;
- send spam or bulk email that breaks anti-spam law using mailer exports;
- break, probe or overload the service or the connector, or get around its security or usage limits;
- copy, resell or rebuild Livery's components, design system or builders as a competing product;
- reverse engineer the service, except where the law allows it.
We may remove content or suspend access if you break these rules. Where it's reasonable, we'll tell you first and give you a chance to fix it.
Our intellectual property
Livery, including the software, universal components, design system structure, builder apps, starting themes, icon tooling, connector, documentation and our name and logo, belongs to us or our licensors. During your plan we give you a non-exclusive, non-transferable right to use it for your own business, and for your clients if you're a studio.
Components and styling inside your exported assets may be used as part of those assets without limit. Don't extract them to build a separate design system or product.
If you send us feedback or ideas, we may use them without owing you anything.
Third-party services
Livery relies on services we don't control, including Google Fonts, Material Symbols, your web browser, the AI assistant you connect and any tunnel or host you use for the connector. Their terms apply to your use of them, and we aren't responsible for their availability or behaviour.
Changes and new features
We improve Livery over time, and may add, change or retire features. New universal components arrive through Sync and never change an approved brand. If we remove a feature that is core to your paid plan, we'll tell you in advance, and if that leaves the plan materially worse, you can cancel and get a pro-rata refund for the unused period.
Features marked as coming, beta or preview (for example Webinars) are provided as they are and may change or be withdrawn.
Cancelling and termination
- You can cancel at any time. Cancellation takes effect at the end of your current billing term.
- We may suspend or end your access if you seriously or repeatedly break these terms, don't pay, or if the law requires it.
- When your plan ends, paid features stop working. Assets you have already exported remain yours to use. Export your brands before the end date.
- Sections 5, 9 and 13 to 17 continue after termination.
Disclaimers
We'll provide Livery with reasonable skill and care. Beyond that, and to the extent the law allows, Livery is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
Contrast checks and other quality guards help you meet accessibility guidance. They don't guarantee that any asset is fully accessible or compliant with law in your market.
Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special or consequential losses, or for lost profits, revenue, data or goodwill. Our total liability for all claims relating to Livery in any 12-month period is limited to the fees you paid us in that period, or US$100 if you used Livery for free.
Nothing in these terms limits liability that can't be limited by law, such as liability for fraud, or for death or personal injury caused by negligence.
Indemnity
You'll defend and compensate us against claims by third parties arising from your content (including fonts, logos and images you upload), your clients' use of instances you set up, or your breach of these terms.
Governing law and disputes
These terms are governed by the laws of [Governing law / jurisdiction]. Before bringing a claim, please contact us so we can try to resolve it informally within 30 days. If we can't, the courts of [Courts / venue] have exclusive jurisdiction, unless your local consumer law gives you the right to bring proceedings where you live.
General
- Changes to these terms. We may update these terms. We'll post the new version here with a new date, and tell you at least 30 days ahead of significant changes. Continuing to use Livery after that means you accept them.
- Assignment. You can't transfer this agreement without our consent. We may transfer it in a merger, acquisition or sale of assets.
- Events outside our control. Neither party is liable for delays caused by events beyond reasonable control.
- Severability. If part of these terms can't be enforced, the rest still applies.
- No waiver. Not enforcing a right straight away doesn't mean we give it up.
- Entire agreement. These terms, the Privacy Policy and any order form are the whole agreement between us about Livery.
